Terms of Service
1. Agreement to Terms
These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“the Client”) and Bill Moore Property Maintenance LLC (“we,” “us,” or “our”), concerning your access to and use of our digital marketing services. You agree that by engaging our services, you have read, understood, and agree to be bound by all of these Terms of Service.
2. Provision of Digital Marketing Services
Bill Moore Property Maintenance LLC agrees to provide the Client with digital marketing services as detailed in a mutually agreed-upon Statement of Work (SOW) or Master Service Agreement (MSA). These services may include, but are not limited to, Search Engine Optimization (SEO), Pay-Per-Click (PPC) advertising, social media marketing, and content marketing.
3. Timelines and Deliverables
Project timelines and key deliverables will be outlined in the SOW. While Bill Moore Property Maintenance LLC will make every reasonable effort to meet the agreed-upon deadlines, the Client acknowledges that delays may occur due to unforeseen circumstances or dependencies on Client feedback and approvals. We are not liable for any damages resulting from such delays.
4. Payment Terms
The Client agrees to compensate Bill Moore Property Maintenance LLC for the services rendered according to the payment schedule outlined in the SOW or invoice. Services are typically billed on a monthly retainer basis, payable in advance. All payments are due within 15 days of the invoice date unless otherwise specified. Failure to make timely payments may result in the suspension or termination of services.
5. Client Responsibilities
The Client agrees to provide all necessary access to information, digital assets, and platforms (e.g., website backend, analytics accounts, ad accounts) required for Bill Moore Property Maintenance LLC to perform the services. The Client is also responsible for providing timely feedback and approvals to ensure the project progresses as scheduled.
6. Intellectual Property
Upon full payment for the services, the Client shall own the rights to all final deliverables created by Bill Moore Property Maintenance LLC specifically for the Client, such as custom ad copy, blog posts, and reports. Bill Moore Property Maintenance LLC retains the right to use the work for portfolio and marketing purposes. All pre-existing intellectual property, proprietary methodologies, and tools used by Bill Moore Property Maintenance LLC remain our property.
7. Confidentiality
Both parties agree to keep confidential all proprietary information received from the other party during the engagement. This includes business strategies, client lists, campaign data, and financial information. This obligation extends beyond the termination of the service agreement.
8. Limitation of Liability
Bill Moore Property Maintenance LLC will not be liable for any indirect, incidental, special, or consequential damages, including loss of profits, revenue, or data, arising in connection with the services provided. Our total liability for any claim arising out of or relating to our services shall not exceed the total fees paid by the Client to Bill Moore Property Maintenance LLC in the three (3) months preceding the claim.
9. Termination
Either party may terminate the service agreement with 30 days written notice. Upon termination, the Client is obligated to pay for all services rendered up to the effective date of termination. Bill Moore Property Maintenance LLC will cooperate in the orderly transfer of any necessary account access or data to the Client.
10. Governing Law
These Terms shall be governed by and defined following the laws of the jurisdiction in which Bill Moore Property Maintenance LLC is registered. Any disputes arising in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of that jurisdiction.
